What would this lawsuit look like? Isn't Georgia Tech run by the state of Georgia?

Georgia Tech, which is run by the state of Georgia, wants to go private. But it can't because the state of Georgia doesn't want Georgia Tech to go private and they run the school.

So then the state of Georgia sues the state of Georgia because they want to take GT private but they are blocking themselves from doing so? Who is actually doing the suing? What are the grounds of the lawsuit?
